Apex Care Foundation is a UK-registered charitable organisation, established to operate transparently, ethically and in full compliance with legal and regulatory standards. Our legal structure is designed to ensure accountability, proper oversight and the responsible use of resources in pursuit of our mission.

Company Status

Apex Care Foundation is incorporated as a private company limited by guarantee, meaning:

• The organisation has no shareholders and cannot distribute profits

• Any surplus is reinvested entirely into charitable activities

• Trustees act as directors but do not receive personal financial benefit

• Members agree to contribute a nominal amount (£1) if the company is ever wound up

This legal form is widely used by charities and non-profits in the UK as it balances flexibility with strong governance safeguards.

Charity Registration

We are in the process of registering as a UK charity with the Charity Commission for England and Wales. This will provide:

• Recognition of our exclusively charitable purpose

• Access to tax reliefs and Gift Aid

• Additional public accountability through annual reporting

• Clear guidelines for legal and ethical operations

Upon full registration, our charity number and governance documents will be made publicly available.

Charitable Objectives

As outlined in our governing documents (Memorandum and Articles of Association), our primary objectives are to:
